Course description
This course will introduce students to the European and International principles of contract law, and to a selection of European laws of contract (principally English, French and German law). We will explore the extent to which there are common principles, and consider the similarities and differences between the different laws (and also Taiwanese contract law) on key issues such as liability for breaking off contractual negotiations; pre-contractual information and duties of disclosure; controls over the terms of business-to-business contracts; remedies (particularly enforced performance and termination of the contract); and change of circumstances/ hardship. The aim is to determine whether the various laws aim to achieve the same thing or reflect different polices and philosophy; and if there are differences, why?
